By Logging into GOP Data Center under the Republican Party of Virginia’s Authority, you agree to the following:
1. License. The VAGOP grants to Licensee a non-exclusive, non-transferable license to use GOP Data
Center and Campaign Sidekick (herein after referred to as “VAGOP data”) subject to the terms and
conditions set forth herein.
2. Confidentiality. Licensee acknowledges that data is confidential information. Consequently, Licensee shall
keep confidential and protect from unauthorized disclosure by its employees or agents, the contents of
VAGOP data. Furthermore, the Licensee agrees that VAGOP data, or any portions thereof, will not be
provided on digital media to any person or organization, with the exception of lists of a precinct or less given
to a person for purposes of making enhancements to VAGOP data. In addition, Licensee shall not sell,
transfer or otherwise make available any information contained in VAGOP data or copies thereof to others.
Licensee shall secure and protect VAGOP data and shall take appropriate action by instruction or
agreement with its employees or agents who are permitted access to VAGOP data to satisfy its obligations
hereunder. If employees or agents of the Licensee are permitted access to VAGOP data, the Licensee shall
maintain a list of those individuals who access VAGOP data. The obligations set forth in this paragraph
survive termination of this Agreement.
3. Licensee Responsibilities. The Licensee agrees to comply with all federal, state, and local laws, rules, and
regulations including but not limited to the do-not-call or do-not-fax regulations with respect to the Licensee’s
use of VAGOP data. The Licensee further agrees to indemnify and hold the VAGOP harmless against any
and all claims related to, in whole or in part, the Licensee’s failure to comply with any laws, rules, or
regulations with respect to the Licensee’s use of VAGOP data.
4.Termination. The license granted hereunder shall terminate if, at any time, the VAGOP deems in its sole
judgment that VAGOP data is not being used in accordance with this Agreement. Notwithstanding the
foregoing, this Agreement shall automatically terminate no later than December 31, 2023, unless otherwise
agreed to by the parties in writing.
